Terms of Service

1. Acceptance of Terms

By accessing or using Codextroop Technologies, services you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.

2. Services

Codextroop Technologies provides software development, consulting, and related technology services. The specific scope, deliverables, timelines, and pricing for each project will be defined in a separate Statement of Work (SOW) or service agreement.

3. Client Responsibilities

Clients agree to:

• Provide timely information, materials, and feedback necessary for project completion
• Designate authorized representatives for project communications
• Review and approve deliverables within agreed-upon timeframes
• Pay invoices according to agreed payment terms
• Not engage in illegal or unethical use of our services

4. Intellectual Property

Unless otherwise specified in a separate agreement:

• All custom work product developed specifically for a client will be owned by the client upon full payment
• Codextroop retains ownership of pre-existing intellectual property, tools, frameworks, and methodologies
• Clients grant Codextroop permission to use project outcomes as portfolio examples (with sensitive information removed)

5. Confidentiality

Both parties agree to maintain confidentiality of proprietary and sensitive information shared during the course of the engagement. We implement industry-standard security measures to protect client data and intellectual property.

6. Payment Terms

Payment terms will be specified in each project's SOW. Generally, we require a deposit before project commencement, with milestone-based or monthly payments thereafter. Late payments may incur interest charges and may result in suspension of services.

7. Warranties and Disclaimers

We warrant that services will be performed in a professional manner consistent with industry standards. However, we do not guarantee specific business outcomes or results. Services are provided as is without warranties beyond those explicitly stated in the SOW.

8. Limitation of Liability

To the maximum extent permitted by law, Codextroop's total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific project or service giving rise to the claim.

9. Termination

Either party may terminate an engagement with written notice as specified in the SOW. Upon termination, the client shall pay for all work completed up to the termination date.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be resolved through good-faith negotiation or, if necessary, through binding arbitration.
